Provide legal support to Joint Venture, M&A and Project Finance transactions as well as all corporate and finance law matters in the area of renewable energy in Poland and internationally, with a focus on onshore wind and photovoltaic.
Obowiązki
- Work on exciting renewables joint venture, M&A and project finance transactions as well as corporate projects in Poland and internationally, focusing on onshore wind and photovoltaic projects
- As a Senior Legal Counsel take over the role of lead lawyer for these transactions
- Advise the business and management on all transactional legal matters of M&A and project finance transactions, including drafting and negotiation of related documentation not only in Poland but also in cross-border transactions and in other jurisdictions
- Provide support on all matters of corporate and financing law in Poland and abroad
- Work across the international RWE Renewables Europe & Australia's business, alongside other members of the RWE Renewables Europe & Australia international Legal Team and engage with other support functions to deliver a holistic and streamlined service to the business of RWE Renewables Europe & Australia
- Manage organizational and coordination tasks, incl. process optimization, with a very high degree of complexity with independent professional decision-making competence, especially in the area of asset or share deals, due diligences, JV services and management as well a corporate and finance law matters
- Advise the business on all day to day matters of corporate and finance law, including operation of joint venture partnerships and post-acquisition integration as well as corporate housekeeping
- If needed, engage, coordinate and steer external legal advisors
- Provide support (including liaising with external counsel) in related dispute resolution situations
Wymagania
- Graduated in law with distinction and qualified as solicitor in Poland or another EU country or the UK
- At least 5 years of working experience with M&A transactions and corporate law in an international law firm or company
- Bar association (attorney, legal counsel)
- Extensive commercial and technical understanding
- Very good organizational, analytical and communication skills and a solution-oriented mindset
- Customer-orientation and consulting skills as well as negotiating skills
- High level of engagement; enjoy working in an international team including travel
- High flexibility and ability to work professionally and accurately under pressure
- Very good command of English and Polish is essential; capability of conducting negotiations in German or another EU-language is beneficial
